TÉRMINOS Y CONDICIONES ESTÁNDAR DE VENTA 



  1.  Las presentes Condiciones Generales de Venta se aplican a las relaciones comerciales entre nuestra sociedad y nuestros clientes  En ningún caso se aplican a las relaciones contractuales del cliente con los consumidores. A fin de mejorar la calidad de nuestros productos, MADESPA S.A., se reserva el derecho de modificar, en cualquier momento y sin previo aviso, las características técnicas de nuestros productos sin obligación alguna de notificarlo al comprador. 
  2. Las ilustraciones y grabados de nuestros prospectos y catálogos tienen carácter orientativo, cuyos pesos, dimensiones, etc., estarán sujetos a cualquier ulterior modificación, sin previo aviso y no podrán en ningún caso considerarse como contractuales. Cualquier reproducción o representación, incluso parcial por cualquier procedimiento, de las páginas publicadas en el presente catalogo y sin la autorización de nuestra sociedad, es ilícita y constituye una falsificación. 
  3. En el caso de los productos sanitarios, cuando sea necesario, el cliente se compromete a cumplir los requisitos de la Directiva (UE) 2017/745 .
  4. Para cualquier reclamación por parte del cliente, en orden para que sea admisible, MADESPA, S.A. debe ser notificado de cualquier reclamo mediante una carta enviada por correo certificado a su oficina registrada, especificando la naturaleza y extensión de la falta de conformidad, en un plazo de 8 días desde la entrega de los bienes o la prestación de los servicios
  5. El cliente, cuando proceda, deberá presentar la Declaración Única en Aduana (DUA) una vez que las mercancías hayan llegado a su destino. Madespa S.A. se reserva el derecho de reclamar cualquier gasto en que se incurra como consecuencia del incumplimiento por parte del cliente de la obligación de presentar dicha documentación.
  6. Los términos de pago se indican en la factura del pedido. En caso de impago en la fecha de vencimiento, MADESPA, S.A. se reserva el derecho de solicitar un pago de intereses fijo que asciende al 10% de la suma que queda por pagar. MADESPA, S.A. estará autorizada a suspender cualquier prestación de servicios sin previo aviso en caso de retraso en el pago. Si un pago sigue pendiente por mas de sesenta (60) días despues de la fecha limite, MADESPA, se reserva el derecho de reccurri a los servicios de una empresa de cobro de deuda. Todos los gastos legales correrñan a cargo del cliente  
  7. Los pedidos no admiten modificación desde la confirmación del cliente. Cualquier modificación posterior en el pedido queda supeditada a la aprobación por parte de MADESPA S.A., informando al cliente de los posibles costes incurridos por dicha modificación.
  8. Las fechas de entrega son estimativas, no obligatorias. MADESPA S.A se compromete a entregar la mercancía en un plazo comercialmente razonable, siempre y cuando no existan circunstancias y/o causas que se lo impidan y/o dificulten conforme a lo previsto en las presentes condiciones generales. MADESPA, S.A. se compromete a hacer todo lo posible para el pedido en el plazo acordado, reservándose el derecho a modificar la fecha de entrega previo aviso al cliente. 
  9. Toda cuestión relacionada con el presente servicio se regirá por la Legislación española, renunciando el cliente explícitamente a los de su fuero.

    2. enhance the quality of our products Madespa S.A reserves the right to modify, at any time and without prior notice, the technical specifications of our products without any obligation to notify the buyer. The illustrations and engravings in our brochures and catalogs are for guidance only; their weights, dimensions, etc., may be subject to further modification without prior notice and cannot under any circumstances be considered contractual.

  3. For any customer claims to be admissible, Madespa S.A. must be notified of any claim by letter sent be registered mail to its registered office, specifying the nature and extent of the non-conformity, within 8 days of delivery of the goods or provision of services.
  4. The customer must provide the Single Customs Declaration (SAD) once the goods have reached their destination. Madespa S.A. reserves the right to claim any costs incurred as a result of the customer's failure to provide such documentation
  5. The terms of payment and prices are indicated on the proforma invoice. Current taxes and any future taxes or costs affecting the standardization and fulfillment of this operation shall be borne by the customer. In the event of non-payment by the due date, MADESPA, S.A. reserves the right to charge fixed interest amounting to 10% of the outstanding balance. MADESPA, S.A. shall be authorised to suspend any provision of services without prior notice in the event of late payment. If a payment remains outstanding for more than sixty (60) days after the due date, MADESPA reserves the right to engage the services of a debt collection agency. All legal costs shall be borne by the customer. 
  6. Orders cannot be modified after 15 days from customer confirmation. Any subsequent modification to the order is subject to approval by Madespa, with the customer being informed of any potential costs ncurred by such modification.
  7. Delivery dates are estimated and not obligatory. MADESPA S.A. undertakes to deliver the goods within a commercially reasonable time, provided there are no circumstances or causes preventing or hindering it in accordance with these general conditions. MADESPA, S.A. undertakes to do everything possible to fulfill the order within the agreed-upon  timeframe, reserving the right to modify the delivery date with prior notice to the customer.
  8. Any issues related to this service shall be governed by Spanish law, with the customer explicitly waiving their jurisdiction.
